SALE: THE PARTIES DO HEREBY AGREE AS FOLLOWS: The Client retains the Firm to act as the Clients solicitors with respect to the sale of the Clients home. The Firm will provide the following services: reviewing executed agreement of purchase and sale (but not including negotiating or drawing agreement) and advising in connection therewith, preparing transfer, all conversations and communications with purchaser(s) solicitor(s), preparing statement of adjustments and advising in connection therewith, advising on GST (as applicable), (if condominium unit, dealing with status certificate and documentation, as required by the agreement of purchase and sale), review of vendor take-back charge (if any), attending on execution of all documentation, completing transaction including electronic registration as applicable, attending to registration of the discharge of the first mortgage registered on title, reporting to client and all other services necessarily incidental thereto; B. PURCHASE: THE PARTIES DO HEREBY AGREE AS FOLLOWS: 1. The Client retains the Firm to act as the Clients solicitors with respect to the purchase of the Clients home. The Firm will provide the following services: ( 2.1 DETACHED, SEMI DETACHED OR FREEHOLD TOWNHOUSES Reviewing executed Agreement of Purchase and Sale (but not including negotiating or drawing agreement and advising in connection therewith; Investigating title, making requisitions on title and or other matters recited in the agreement; Searching for arrears of realty and all other taxes and rates constituting statutory liens; Advising on the applicability of GST legislation Searching for executions Reviewing transfer and preparation of one charge given back or taken; Reviewing statement of adjustments and arranging title insurance if applicable; Subject to the use of title insurance making such examinations of survey (if available) or zoning, building by-laws, and work orders as is necessary and reasonable; Answering any questions of Purchaser relating to title, zoning and statement of adjustments while attending to execution of documents; Arranging for Closing, giving opinion on title or providing title policy, reporting and all other services necessarily incidental thereto: ( 2.2 CONDOMINIUMS Reviewing executed Agreement of Purchase and Sale (but not including negotiating or drawing agreement and advising in connection therewith); Advising Client on how to review condominium documents; Investigating title and checking the description, making requisitions on title and or other matters recited in the agreement; Searching for arrears of realty and all other taxes and rates constituting statutory liens; Advising on the applicability of GST legislation Searching for executions Obtaining and reviewing STATUS CERTIFICATE ONLY from Condominium Corporation; Reviewing transfer and preparation of one charge given back or taken; 2 - Reviewing statement of adjustments and arranging s title insurance if applicable; Examining condominium unit plan (if available) and subject to the use of title insurance making such examinations of zoning, building by-law, and work orders as is necessary and reasonable; Answering any questions of Purchaser relating to title, zoning, occupancy agreement if applicable, responsibility and participation in condominium corporation and statement of adjustments while attending to execution of documents; Arranging for Closing, giving opinion on title or providing title policy, reporting and all other services necessarily incidental thereto: These are all of the services for which the Client has herein contracted. Any extra time spent or services performed shall be at the expense of the Client. The client does hereby acknowledge that it is the Clients responsibility to ensure all mortgage instructions and insurance binders/policies are available to the Firm at least one week before closing and certified funds are provided no later than the day before closing or additional costs may result . The work conducted on the Clients file will be conducted by Solicitors and various law clerks, articling students, secretaries and legal assistants in the employ of the Firm from time to time. The Client will be charged for extra time spent or services performed at the rate of $500/hour for Mr. Schwarz, $300/hour for Mr. Chatzidimos, $200/hr for Associate Lawyers, $150/hour for Students at Articles, $125/hour for law clerks and $90.00 per hour for legal assistants and secretaries. The Client shall further pay the cost of electronic scanning and/or storage of $65 plus GST. The Client shall pay the Firm the sum of $799.00 plus GST net of disbursements, in consideration of the services performed in paragraph A and B. 2.1 and if resale condominium the services performed in B. 2.2, for purchases and sales up to $499,999. Thereafter the fee shall increase by $100/$100,000 of purchase or sales price. The Client shall pay the Firm the sum of $399.00 plus GST net of disbursements, for an Occupancy Closing and the Client shall pay the Firm the sum of $499.00 plus GST net of disbursements, for the Final Closing, in consideration of the services performed in paragraph B. 2.2 hereof for purchases up to $499,999. Thereafter the fee shall increase by $100/$100,000 of purchase price. The Client does hereby consent to the above fees, acknowledges that he/she/they understand the arrangement and that all of the above has been explained to them. The Client shall provide a retainer in the sum of $450.00 towards disbursements on executing this retainer and agrees to pay all disbursements and Land Transfer Tax necessarily incurred in the conveyance of the property. The Client understands that to provide the Client with goods and services, the Firm will collect some personal information about the Client (e.g. home telephone number, address, birth date, etc). The Client has reviewed the Firm's Privacy Policy about the collection, use and disclosure of personal information, steps to taken to protect the information and the Clients right to review the Clients personal information. The Client understands how the Privacy Policy applies to the Client. The Client has been given a chance to ask any questions that the Client has about the Privacy Policies and they have been answered to the Clients satisfaction. The Client does hereby grant to the Firm, permission to provide the Client with notice when it is time to review whether the Client needs new goods or services; to provide the Client with newsletters and other informational mailings from the Firm; and to provide the Client with notice of promotions and special offers, if any of the Firm. The Client understands that, as explained in the Policies and Procedures for Personal Information, there are some rare exceptions to these commitments. The Client further grants permission for the Firm to email the Client any documents the Firm deems appropriate in an unscrambled condition and to utilise the internet in the prosecution of the Clients case as the Firm deems appropriate. I agree to the Firm collecting, using and disclosing personal information about the Client as set out above and in the Firm's Privacy Policy.
